Service Agreements
By using our services, you agree to the terms outlined in this Service Agreement. All work is delivered according to the approved scope, timeline, and payment terms. Any changes or additional requests may result in revised fees or schedules.
Clients must provide accurate and timely information required to complete the service. Delays caused by missing or incorrect inputs may impact delivery.
We reserve the right to suspend or terminate services for misuse, non-compliance, or unpaid dues. Continued use of our services signifies acceptance of this agreement.
Pricing & Payments
All prices will be defined in the proposal or invoice.
Payments must be made on or before the due date.
Late or delayed payments may result in service suspension.
All fees are non-refundable unless stated otherwise in writing.
Project Scope & Deliverables
The project will be executed strictly according to the approved scope of work. All tasks, functionalities, and requirements defined in the scope document represent the full extent of services to be provided.
Deliverables will be produced in alignment with the agreed specifications and timeline. Any additional features, revisions, or changes requested outside the original scope may require a separate agreement or additional charges.
All deliverables will be reviewed and submitted to the client for approval upon completion. Acceptance of the deliverables confirms that the work meets the agreed project requirements.
Confidentiality
Both parties agree to protect all confidential and proprietary information shared during the course of the project. Such information shall not be disclosed, used, or reproduced for any purpose other than fulfilling the agreed services, unless required by law.
Each party must take reasonable steps to ensure that sensitive information remains secure and is not accessed by unauthorized individuals. This obligation remains in effect even after the completion or termination of the agreement.
Intellectual Property
All source code, designs, and documentation developed by the Company remain its intellectual property unless transferred by a written agreement.
The Client receives rights to use the final deliverables for their business purposes.
Unauthorized reselling, duplication, or distribution is prohibited.
Maintenance & Support
If included in the agreement:
- Support is provided during business hours
- Response times depend on priority levels
- Maintenance schedules will be communicated in advance
Additional support or emergency services may incur extra charges.
Third-Party Services
Our services may involve the use or integration of third-party tools, platforms, or service providers. We are not responsible for the availability, performance, or policies of these third-party services. Any issues, limitations, or disruptions arising from third-party providers are subject to their respective terms and conditions.
The client is responsible for any additional costs, subscriptions, or licenses required for third-party services used within the project. By proceeding, you agree to comply with all applicable third-party terms.
System Access & Security
Clients must provide necessary access credentials for project execution.
The Company will:
- Take necessary precautions to protect systems
- Not be liable for pre-existing security vulnerabilities
- Not be responsible for damages caused by client-side misconfigurations
Warranties & Limitations
All services are provided on a best-effort basis, and we warrant that the work will be performed with reasonable skill, care, and professionalism. However, we do not guarantee uninterrupted operation, error-free performance, or specific results unless explicitly stated in the agreement.
To the maximum extent permitted by law, the company is not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities. Our liability is strictly limited to the total fees paid for the specific service in question.
Maintenance & Support
If outlined in the agreement, support services will be provided during standard business hours. Response times will vary based on the assigned priority level of the issue. Scheduled maintenance or service downtime will be communicated to the client in advance.
Any additional support requests, after-hours assistance, or emergency services may be subject to extra fees as specified in the agreement.
Termination of Services
The Company may terminate services under the following circumstances:
- Overdue payments that remain unpaid beyond the agreed timeframe.
- Violation of terms outlined in the service agreement or related policies.
- Misuse, unauthorized activities, or any illegal actions involving the services provided.
Upon termination, the Client is required to settle all outstanding dues and obligations immediately.
Refund Policy
Refunds may be issued only under the following conditions:
- When explicitly stated and agreed upon in the service contract.
- If the Company fails to deliver essential or agreed-upon milestones.
- If the refund request is submitted within the specified eligibility period.
Refunds will not be provided for:
- Work that has already been completed or delivered.
- Digital services, assets, or deliverables that have been provided to the Client.
- Cancellation or change of mind after the project has commenced.
